Terms of Service
These Terms of Service ("Terms") govern your access to and use of FirmForms (the "Service"), operated by FirmForms ("we", "us"). By creating an account or using the Service, you ("you", the "Firm") agree to these Terms.
1. The Service
FirmForms helps solo and small tax and bookkeeping firms send an engagement letter, have a client review and e-sign it from a single link, and receive a sealed PDF with an audit trail. The Service is in early access: features may change, and some features described on our website (such as automatic invoicing and payment collection) are not yet available.
2. Accounts
You sign in with a one-time email link (no password). You are responsible for your account, for anyone you allow to access it, and for the accuracy and lawfulness of the information you put into the Service, including any client names, email addresses, and letter content.
3. Your content and your clients' data
You retain all rights to the engagement letters, client details, and other content you provide ("Firm Content"). You grant us a limited licence to host, process, and transmit Firm Content solely to provide the Service. As between you and us, you are the controller of your clients' personal data and you are responsible for having a lawful basis to process it; we act as your processor. See our Privacy Policy.
4. Engagement letters are not legal advice
Any letter templates or content in the Service are editable starting points, not legal advice. Engagement-letter requirements vary by jurisdiction, professional body, and service type. You are solely responsible for the content, accuracy, and compliance of the letters you send, and for reviewing them with your attorney and malpractice (PLI) insurer. We do not provide legal or accounting advice and are not a substitute for a licensed professional.
5. Electronic signatures
The Service captures electronic signatures with a timestamped audit trail (including IP address and consent). Electronic signatures are generally valid under the U.S. ESIGN Act and UETA and comparable laws. You are responsible for confirming that electronic signing is appropriate and enforceable for your documents in your jurisdiction. We do not warrant the legal enforceability of any signed document.
6. Acceptable use
- Do not use the Service unlawfully, or to send documents you are not authorised to send.
- Do not upload malware, attempt to breach security, or disrupt the Service.
- Do not use the Service to collect signatures through deception or impersonation.
7. Fees
During early access the Service may be provided free or at a founding rate. When paid plans launch, fees (for example, $79 per month, flat, all users included) will be billed through our payment provider. Founding firms keep their founding rate as described at signup. Taxes may apply. We will give reasonable notice of pricing changes.
8. Availability and "as is"
The Service is provided "as is" and "as available" during early access, without warranties of any kind, express or implied. We do not guarantee uninterrupted or error-free operation, and we may modify or discontinue features.
9. Limitation of liability
To the maximum extent permitted by law, we are not liable for indirect, incidental, special, or consequential damages, or for lost profits, data, or goodwill. Our total liability arising out of or relating to the Service will not exceed the greater of the fees you paid us in the three months before the claim, or US$100.
10. Termination
You may stop using the Service and delete your account at any time. We may suspend or terminate access for breach of these Terms or to protect the Service. You can export your data before termination; after termination we may delete your data as described in the Privacy Policy.
11. Changes
We may update these Terms. Material changes will be posted here with a new "last updated" date and, where appropriate, notified by email. Continued use after changes means you accept them.
12. Governing law
These Terms are governed by the laws of the United States and the state in which FirmForms is established, without regard to conflict-of-laws rules. (Confirm the governing-law jurisdiction with counsel before launch.)
